Responsibilities

The Manager, Technology Transfer will manage the NYBCe technology transfer function, serving as the bridge between the science coming out of NYBCe laboratories and the commercial opportunities it can support. Working across NYBCe research programs in infectious disease, benign hematology, cell therapy, transfusion medicine, diagnostics, and related life sciences, this role will evaluate new inventions, coordinate patent filings with outside counsel, manage federal invention reporting in iEdison, prepare and negotiate standard IP-related agreements, including material transfer agreements (MTAs) and confidentiality agreements (CDAs), and market NYBCe technologies to potential licensees and partners.

This is a hands-on manager role for a highly organized scientist with technology transfer experience. The Manager will run invention intake, patent, licensing, and agreement workflows using NYBCe templates and policies, put practical tracking systems in place, and escalate nonstandard legal terms to the Office of General Counsel.

The Manager will work closely with NYBCe investigators, Business Development, the Office of Sponsored Programs (OSP), the Office of General Counsel, Finance, outside patent counsel, and industry partners.

Invention Intake and Evaluation:

  • Serve as the first point of contact for investigators with new inventions; meet with inventors to understand the science, guide them through the invention disclosure process, and collect complete disclosures.
  • Evaluate disclosures for scientific merit, novelty, patentability, commercial potential, and competitive landscape, conducting preliminary prior art, patent landscape, and market searches.
  • Prepare concise invention assessments with clear recommendations (e.g., file, hold, market, or release) for leadership review.

Federal Invention Reporting and Compliance (iEdison / Bayh-Dole):

  • Manage the NYBCe iEdison account and federal invention reporting obligations under the Bayh-Dole Act (35 U.S.C. §§ 200–212; 37 CFR 401), including timely disclosure of subject inventions to funding agencies, election of title, patent filing notifications, government support clauses, confirmatory licenses, and annual utilization reports.
  • Link inventions to their federal and non-federal funding sources in coordination with OSP, and flag sponsor IP terms that affect ownership, licensing, or reporting.

Patent Management:

  • Coordinate with inventors and outside patent counsel on provisional, PCT, national phase, and continuation filings; review drafts for scientific accuracy.
  • Maintain the NYBCe patent and technology docket, tracking filing and prosecution deadlines, maintenance fees, costs, and outside counsel activity; recommend maintenance or abandonment decisions based on commercial prospects.

Technology Transfer Agreements:

  • Prepare, review, and negotiate incoming and outgoing material transfer agreements (MTAs) and confidentiality agreements (CDAs/NDAs) using NYBCe templates, including terms on ownership, permitted use, publication, IP rights, and confidentiality; track execution and compliance with MTA obligations.
  • Support negotiation of research collaboration agreements (RCAs) with academic, industry, and nonprofit partners, focusing on IP ownership, inventorship, publication, and license option terms; coordinate with OSP when agreements include sponsored funding and with the Office of General Counsel on legal terms.
  • Negotiate options, evaluation, and license agreements in accordance with NYBCe policy and standard terms, escalating nonstandard or high-risk legal terms to the Office of General Counsel.
  • Manage the agreement process for MTAs, CDAs, and other technology transfer agreements, from intake through signature routing, execution, and amendments.
  • Maintain an organized agreement repository and tracking system with key dates, deliverables, and obligations; monitor compliance and follow up with investigators and partners as needed.
  • Use and help maintain NYBCe agreement templates and standard clauses in coordination with the Office of General Counsel.
  • Support term sheet development and deal analysis, including benchmarking comparable deals and royalty structures.

Technology Marketing and Licensing:

  • Translate complex science into compelling non-confidential technology summaries, one-pagers, and slide decks that clearly communicate the unmet need, the solution, supporting data, IP position, and market opportunity.
  • Research markets, applications, and potential licensees; build and maintain target lists and a partner pipeline.
  • Conduct outreach to pharmaceutical, biotechnology, diagnostics, and other life sciences companies to identify licensees and partners; attend partnering meetings as appropriate.
  • Recommend commercialization pathways (licensing, option, sponsored research, or collaboration) and next steps for each technology.

License and Royalty Management:

  • Track licensee obligations, including milestones, diligence requirements, sublicense and royalty reports, and payments due.
  • Ensure royalties and other licensing income are received, recorded, and distributed accurately and on time to inventors and NYBCe in accordance with NYBCe intellectual property policy and royalty-sharing agreements, in coordination with Finance.

Process, Reporting, and Investigator Outreach:

  • Implement and maintain intake processes, standard operating procedures, tracking tools, and portfolio metrics for the technology transfer function.
  • Prepare portfolio status reports and recommendations for leadership; advise investigators on IP protection and commercialization options.
  • Deliver investigator education and outreach on invention disclosure, IP protection, publication timing, and commercialization.
  • Makes recommendations for improvement of practices within the technology transfer function.
  • Serves as a resource across NYBCe on MTAs, CDAs, invention disclosure, and other technology transfer questions.
  • Stays current on trends in technology transfer, intellectual property, and life sciences markets relevant to NYBCe research areas.
  • Participates in special projects at the direction of senior management.
  • Perform other duties as needed to successfully fulfill the functions of the position.
  • Any related duties as assigned.

  • Working knowledge of patent practice (patentability, prior art, inventorship, provisional, PCT, and national phase filings), licensing, and technology commercialization.
  • Working understanding of the key terms in MTAs, CDAs, RCAs, option, and license agreements, including IP ownership, publication, confidentiality, and liability provisions.
  • Familiarity with the Bayh-Dole Act and iEdison invention reporting preferred.
  • Awareness of drug, biologic, cell therapy, and diagnostic development pathways and of the biotechnology and pharmaceutical business landscape.
  • Experience with agreement tracking, signature routing, and obligation monitoring.
  • Proficiency with Microsoft PowerPoint and Office; ability to use or learn patent databases, market research tools, and docketing systems.

Skills:

  • Cultural competency and the ability to communicate effectively in a culturally sensitive manner with both individuals and groups from diverse backgrounds.
  • Effective negotiation skills, with the ability to reach practical agreements that protect NYBCe while keeping research moving.
  • Strong written and verbal communication skills; comfortable engaging with investigators, executives, outside counsel, and industry partners.

Abilities:

  • Ability to translate complex science into clear, persuasive written materials and slide decks.
  • Resourceful self-starter who can work with limited guidance and put practical processes in place.
  • Highly organized and detail-oriented, with the ability to manage multiple deadlines across patent, reporting, and contract activities.
  • Business curiosity and judgment, including the ability to assess market need, competitive positioning, and value.
